Terms of Service

These Terms of Service ("Terms") govern your access to and use of PyStrategy ("Platform"), operated by Vibecode Lab ("we," "us," "our"). By accessing or using PyStrategy, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account, accessing, or using PyStrategy, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and Refund Policy. If you do not agree, you may not use the Platform.

2. Definitions

• "PYT" or "PyStrategy Token": Virtual currency used within the Platform (1 PYT = 1 USD)
• "Energy": Daily renewable resource provided to Subscribers for running platform tools
• "EA" or "Expert Advisor": Automated trading strategies in .ex5 format for MetaTrader 5
• "Creator": User who sells Expert Advisors on the Platform
• "Buyer": User who purchases Expert Advisors or services
• "Subscriber": User with an active paid subscription plan
• "Success Share": Commission retained by PyStrategy from EA sales

3. Account Registration

3.1 Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use PyStrategy.

3.2 Account Security

You are responsible for:

• Maintaining the confidentiality of your password
• All activities that occur under your account
• Notifying us immediately of any unauthorized access

3.3 Accurate Information

You agree to provide accurate, current, and complete information during registration and to update such information as necessary.

4. Virtual Currency (PYT)

4.1 Overview

PyStrategy uses a virtual currency called "PYT" (PyStrategy Token).

• Exchange Rate: 1 PYT = 1 USD (United States Dollar)
• Nature: PYT is NOT legal tender, cryptocurrency, or real currency
• Refunds: PYT is NON-REFUNDABLE except as required by law
• No Guarantee: PyStrategy makes no guarantee that PYT will maintain purchasing power or retain any monetary value

4.2 Types of PYT

4.2.1 Purchased PYT (Buyer Credits)

Acquisition: Purchased with real money through the Platform
Expiration: Expires 1 year from the purchase date
Use: Purchase Expert Advisors, replace Energy for tool usage
Withdrawal: Cannot be withdrawn for cash
Transfer: Cannot be transferred between accounts

4.2.2 Earned PYT (Creator Balance)

Acquisition: Earned through selling Expert Advisors on the Marketplace
Expiration: Does not expire
Use: Use within the Platform or withdraw to Thai Baht (THB)
Withdrawal: Yes, subject to the following conditions:

• Minimum: 50 PYT ($50 USD)
• Fee: 2% of withdrawal amount
• Processing Time: 7-14 business days
• KYC Required: ID verification and bank account details

4.3 Currency Exchange (Withdrawal to THB)

When withdrawing Earned PYT to Thai Baht:

1. Exchange Rate: USD/THB rate is updated daily at 00:00 UTC
2. Rate Source: Bank of Thailand or equivalent official source
3. Actual Amount: THB amount received depends on the exchange rate at the time of withdrawal processing
4. FX Risk: PyStrategy is NOT responsible for currency fluctuations
5. Creator Responsibility: Creator bears all foreign exchange (FX) risk

Example:

• You earn 1,000 PYT ($1,000 USD)
• Day 1: Exchange rate $1 = ฿35.00 → Withdrawal = ฿35,000 - 2% fee = ฿34,300
• Day 2: Exchange rate $1 = ฿34.50 → Withdrawal = ฿34,500 - 2% fee = ฿33,810
• Day 3: Exchange rate $1 = ฿35.50 → Withdrawal = ฿35,500 - 2% fee = ฿34,790

The Creator is responsible for choosing when to withdraw based on favorable exchange rates.

4.4 Non-Refundable

All PYT purchases are FINAL and NON-REFUNDABLE, except in the following cases:

1. Unauthorized Charges: Account hacked or compromised, fraudulent transactions
2. System Malfunction: Service unavailable for 7+ consecutive days preventing use of purchased PYT
3. Required by Law: EU GDPR, California consumer protection laws, Thai consumer protection law

4.5 Prohibited Activities with PYT

You may NOT:

• Sell, trade, or transfer PYT outside the Platform
• Use PYT for any illegal purpose
• Attempt to manipulate PYT pricing or exchange rates
• Create multiple accounts to exploit promotional offers
• Use automated systems to purchase PYT

5. Subscription Plans

5.1 Available Plans

5.2 Energy

• Energy resets daily and does not accumulate
• Energy can be replaced with PYT (1 Energy = 1 PYT)
• Unused Energy expires at 23:59 UTC daily

5.3 Subscription Renewal

• Subscriptions renew automatically unless canceled
• You may cancel at any time; cancellation takes effect at the end of the current billing period
• No refunds for partial subscription periods

6. Marketplace Rules

6.1 Expert Advisor (EA) Sales

Creator Responsibilities:

• Ensure EA code is original or properly licensed
• Provide accurate descriptions and documentation
• Honor Success Share commission structure based on subscription tier

Buyer Responsibilities:

• Review EA descriptions before purchase
• Understand that EA purchases are final (see Refund Policy)
• Use EA in compliance with MetaTrader 5 terms

6.2 Success Share Commission

When a Creator sells an EA:

• PyStrategy retains a Success Share commission
• Creator receives the remaining percentage based on their subscription tier
• Commission is deducted automatically at the time of sale

Example (Pro Plan - 70% Success Share):

• EA Price: 100 PYT
• Creator Receives: 70 PYT
• PyStrategy Retains: 30 PYT

6.3 Intellectual Property

Creators retain ownership of their EA code. By uploading an EA, Creator grants PyStrategy a non-exclusive license to:

• Display and distribute the EA through the Marketplace
• Use EA metadata for promotional purposes

7. Prohibited Activities

You may NOT:

• Use the Platform for illegal activities or fraud
• Upload malicious code, viruses, or malware
• Reverse-engineer, decompile, or modify Platform code
• Scrape, data-mine, or automate access without permission
• Impersonate others or create fake accounts
• Manipulate reviews, ratings, or marketplace rankings
• Harass, threaten, or abuse other users
• Violate intellectual property rights

8. Termination

8.1 Termination by You

You may delete your account at any time through your profile settings.

8.2 Termination by Us

We may suspend or terminate your account if you:

• Violate these Terms
• Engage in fraudulent activity
• Abuse the Platform or other users

8.3 Effect of Termination

Upon termination:

• Access to the Platform will be revoked
• Unused Purchased PYT will be forfeited (no refunds)
• Earned PYT may be withdrawn if KYC is complete
• Subscription fees are non-refundable

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• PyStrategy is provided "AS IS" without warranties
• We are NOT liable for trading losses resulting from EA use
• We are NOT responsible for MetaTrader 5 or MetaApi downtime
• Our total liability is limited to the amount you paid in the past 12 months

No Financial Advice: PyStrategy does not provide financial, investment, or trading advice. EAs are tools; use at your own risk.

10. Governing Law

These Terms are governed by the laws of Thailand. Disputes shall be resolved in the courts of Bangkok, Thailand.

11. Changes to Terms

We may update these Terms at any time. Changes take effect immediately upon posting. Continued use of the Platform constitutes acceptance of updated Terms.
